3. Intellectual Property
All content on the website—including text, graphics, images, logos, trademarks, databases, layouts, videos, digital products, AI-generated materials, and proprietary tools—is the exclusive property of OctoSource Ltd. or its licensors.
The User may not:
- Copy, reproduce, distribute, modify, or create derivative works from the content;
- Sell, lease, sublicense, or commercially exploit any materials without written consent;
- Use Company content to train AI models or competing services.
Any violation of these rights may result in civil and criminal liability.
4. Recruitment & Placement
As a headhunting and recruitment company, the Company connects candidates and employers. However, it is not a party to any employment agreement between them.
- Candidates are responsible for the accuracy and completeness of the data and CVs they submit.
- Employers are responsible for verifying credentials, conducting interviews, and making final hiring decisions.
The Company does not guarantee that any candidate will be hired or that any role will be filled.
5. Digital Products, Courses & Tools
The Company offers digital products (books, playbooks, courses, checklists) and technological tools (such as browser extensions and AI-based features for recruiters).
- Digital products are generally non-refundable unless required by law;
- Access is personal and may not be shared, resold, or sublicensed;
- Any misuse (e.g., mass distribution, piracy) entitles the Company to revoke access.
6. Information Security & Privacy
The Company applies commercially reasonable security measures, but cannot guarantee immunity from cyberattacks, unauthorized access, or technical failures.
Use of personal data is governed by the OctoSource Privacy Policy, which forms an integral part of these Terms.
7. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for:
- Direct, indirect, incidental, or consequential damages;
- Loss of employment opportunities or business revenues;
- Mismatches between employer expectations and candidate qualifications;
- Reliance on job listings, salary data, or guidance on the website;
- Decisions based on AI-generated outputs, tools, or recommendations.
The User acknowledges that he uses the website and services “as is” and “as available”.
8. Indemnification
The User agrees to indemnify and hold harmless the Company, its owners, employees, contractors, and partners from any claim, damage, loss, liability, or expense (including legal fees) arising from:
- Violation of these Terms;
- Submission of false, misleading, or unauthorized information;
- Breach of privacy or confidentiality obligations;
- Misuse of candidate data by employers or third parties;
- Misuse of Company tools, extensions, or digital products.
This clause survives termination of use and is non-negotiable.
9. Content & Account Management
The Company may, at its sole discretion:
- Remove or modify content without prior notice;
- Delete user profiles or materials that violate these Terms;
- Republish job listings or content to external platforms;
- Refuse service to any User.
The Company is not responsible for information published outside the website.
10. Tools, Extensions & SaaS (Including OctoReach)
When using any of the Company’s tools (e.g., Chrome extension, AI engine, CRM features), the User agrees that:
- Tools are provided “as is” with no uptime or performance guarantees;
- Use must comply with LinkedIn and other third-party platform policies;
- Automated messaging, scraping, or prohibited behaviors may lead to account suspension by those platforms, for which the Company is not liable;
- AI outputs are advisory and not definitive;
- The Company may suspend or terminate tool access in case of misuse.
11. Fees, Payments, Refunds
- Digital products are generally non-refundable;
- Services, retainers, and success fees may be governed by separate agreements;
- The Company may update prices at any time;
- All fees must be paid in full by the agreed date.
12. Governing Law & Jurisdiction
These Terms are governed exclusively by the laws of Cyprus. Any dispute arising out of or in connection with the website or services shall be resolved solely in the competent courts of Nicosia, Cyprus, regardless of the User’s place of residence.
13. Changes & Contact
The Company may update these Terms from time to time. The most current version is always available on the website. Continued use of the services after changes constitutes acceptance of the updated Terms.
